Equalize Health's products are sold in 75+ countries, and have treated over 1 million patients.On January 10, 2023, Equalize Health (the Assignor), executed a general assignment for the benefit of creditors (ABC) in favor of EH Restructuring LLC, (the Assignee). This action was taken and approved with the authorization and consent of the Assignor's Board of Directors, and it was accepted by the Assignee after efforts to restructure, recapitalize, and combine with a similar entity were unsuccessful.Under the California Code of Civil Procedure as part of the wind-down process for a general assignment, all assets of the Assignor were transferred to the Assignee, an entity formed for the purpose of selling the Assignor's assets and distributing the proceeds to creditors in order of priority under applicable California law.On the effective date of the general assignment
